By purchasing and accessing HaynesPro Workshop Data for automotive trade technical information, You agree to be bound by their Terms. If you do not agree with the below you should not purchase this 12 month HaynesPro License.

1 Definitions and Interpretation
In this Agreement (except whether the context otherwise requires):
“Agreement” shall mean these terms and conditions together with the Term Sheet and its Schedules;
"Customer" shall mean the party identified as such in the Term Sheet,
“the Distributor” means DIESEL HELP AUSTRALIA
“Fees” shall mean the fees payable by the Customer under this Agreement
“Haynes” means Haynes Australia Pty Ltd
“Products” means HaynesPro CarSet, HaynesPro Truckset & Haynes Manuals ALLACCESS.
“Term” means 12 months which shall automatically renew for further 12-month periods unless terminated by written notice given by either party to the other not less than 30 days before the expiry of the then-current term.
“Territory” shall mean Australia and New Zealand.

2 Licence and Permitted Purposes
2.1 In consideration for the payment of the Fees by the Customer to the Distributor and subject to the Customer’s compliance with the terms of this Agreement and all applicable laws, the Distributor hereby grants the Customer a non-exclusive, non-transferable licence to access and use the Products (including the data derived or exported from it) solely for the purposes permitted herein (“Permitted Purposes“) during the Term and throughout the Territory only.
2.2 The Customer shall not:
(a) copy, decompile, reverse engineer or attempt to discover the code of any parts of the Products (except to the extent the same cannot be prevented under applicable law);
(b) adapt, copy, modify, lease, rent, loan, assign, charge, redistribute, sub-lease or sub-license the Products or in any way permit access to them by a third party
(c) attempt to circumvent, disable or remove any of the security features of the Products;
(d) use the Products for the benefit of any person other than the Customer or enable or allow any unauthorised person to access any part of the Products;
(e)scrape, build databases, or otherwise create permanent copies of any data that forms part of the Products or keep cached copies longer than permitted by the cache header;
(f) use the Products for or otherwise create any application or service which substantially replicates any application or service offered by the Distributor;
(g) misrepresent the source or ownership of the Products or any data accessed via it;
(h) develop or procure the development of any software program, including but not limited to, training of a machine learning or artificial intelligence system/model, or in any other analogous technologies.

3 Customer Obligations
3.1 The Customer shall:
(a) comply with any third-party terms notified to Customer by the Distributor from time to time in connection with any use by or on behalf of Customer of any data supplied by such third party; and
(b) not use any data derived from the Products in any way which suggests or implies any official status or that the Distributor or any information provider endorses the Customer or its use of the applicable data.
3.2 Without limiting the generality of clause 3.1, the Customer shall acknowledge the source of any data. The Customer shall use the following attribution statement in any product, service or application which uses data obtained via the Products: “Powered by Haynes”.
3.3 The Customer shall:
(a) not disclose to any third party whatsoever the login information or security credentials for the Products;
(b) report any errors, problems or faults in the Products to the Distributor immediately in writing; and
(c) Always keep any login or access credentials confidential and shall ensure no third party accesses the Products using the Customer’s login or access credentials. The Customer shall not mask or misrepresent its identity when accessing the Products. The Customer agrees that the Distributor may monitor usage of the Products and the Customer shall be responsible for ensuring its users are aware of or consent to such monitoring as required by applicable law.
3.4 The Customer shall use best industry standard antivirus and firewall protection at all times when accessing the Products. The Customer acknowledges and agrees it is solely responsible for its connection to the Products (and the maintenance and security of such connection) and all software, hardware and systems not provided by the Distributor hereunder and any associated costs.

4 Intellectual Property Rights
All present and future rights (including intellectual property rights) in and to the Products and any improvements, variations or updates thereto including all images, documentation, content, text, code or other identifiable material relating to the Products, shall ensure to the benefit of Haynes and its licensors.
